General Terms and Conditions of Sale
These General Terms and Conditions of Sale (the “Terms and Conditions”)
govern the sale of products by SITWELL FURNITURE
through its website sitwell.be.
These Terms and Conditions apply to all commercial transactions between
SITWELL FURNITURE and its professional customers, unless otherwise
expressly agreed in writing.

2. Professional Customers
SITWELL FURNITURE supplies products exclusively to professional customers
acting in the course of their business or professional activities.
By placing an order, the customer confirms that it is acting in a
professional capacity and that the products are being purchased for
professional, commercial or business purposes.
The customer is responsible for providing accurate and complete company
information, including its legal name, billing address, VAT number and
delivery details where applicable.
3. Scope and Acceptance
These Terms and Conditions apply to all quotations, offers, orders,
deliveries and sales made by SITWELL FURNITURE, unless expressly agreed
otherwise in writing.
By placing an order, the customer acknowledges that it has read and
accepted these Terms and Conditions.
Any purchasing terms or general conditions issued by the customer shall
not apply unless they have been expressly accepted in writing by
SITWELL FURNITURE.
Any deviation from these Terms and Conditions must be expressly agreed
in writing by SITWELL FURNITURE.
4. Products
The products available for sale are those presented on the website,
in quotations, catalogues or other commercial documentation issued by
SITWELL FURNITURE.
SITWELL FURNITURE makes reasonable efforts to ensure that product
descriptions, dimensions, materials, finishes, colours and photographs
are accurate.
Product photographs are provided for illustrative purposes. Minor
variations may occur due to screen settings, manufacturing processes,
natural characteristics of materials or other technical factors.
The characteristics applicable to a specific order are those confirmed
in the quotation, order confirmation or other written commercial
document relating to that order.
5. Customised and Made-to-Order Products
Certain products may be manufactured, configured or customised according
to the customer's specifications.
The customer is responsible for verifying the accuracy of all
specifications, dimensions, quantities, finishes, colours and other
information provided for customised or made-to-order products.
Once production has started, an order for a customised or made-to-order
product may not be cancelled or modified unless expressly agreed in
writing by SITWELL FURNITURE.
Any additional costs resulting from modifications requested by the
customer after confirmation of the order may be charged to the customer.
6. Prices
Prices are those stated in the applicable quotation, price list,
product page or order confirmation.
Unless expressly stated otherwise, prices are exclusive of any taxes,
duties, transport costs, installation costs or other additional charges
that may apply.
Any applicable VAT and additional charges will be specified on the
relevant invoice or commercial documentation.
SITWELL FURNITURE reserves the right to modify its prices at any time.
Price changes shall not affect orders that have already been confirmed,
unless otherwise agreed in writing.
7. Orders
Orders may be placed through the website or through any other ordering
method accepted by SITWELL FURNITURE.
An order becomes binding once it has been accepted or confirmed by
SITWELL FURNITURE, unless otherwise expressly agreed.
SITWELL FURNITURE reserves the right to refuse or cancel an order,
particularly in the event of product unavailability, incorrect pricing,
insufficient information, credit concerns or other legitimate reasons.
The customer will be informed as soon as reasonably possible in the event
that an accepted order cannot be fulfilled.
8. Invoicing and Payment
Payment for orders is made by invoice.
No online payment is required when placing an order unless otherwise
expressly agreed in writing.
Invoices are issued to the professional customer using the billing
information provided by the customer.
The payment due date and any applicable payment conditions are stated on
the invoice or in the applicable commercial agreement.
The customer must notify SITWELL FURNITURE of any dispute concerning an
invoice within a reasonable period after receipt of the invoice,
specifying the reason for the dispute.
Any undisputed portion of an invoice remains payable according to the
applicable payment terms.
In the event of late payment, SITWELL FURNITURE reserves the right to
apply the interest, compensation and other remedies permitted under the
applicable law and/or expressly provided for in the applicable
commercial agreement.
SITWELL FURNITURE may suspend further deliveries or services where
invoices remain unpaid, subject to applicable law.
9. Delivery
Delivery conditions, destinations, estimated delivery times and
applicable transport charges are specified in the quotation, order
confirmation or other applicable commercial documentation.
Delivery times are estimates unless a specific delivery deadline has
been expressly agreed in writing.
Delivery times may depend on product availability, manufacturing
requirements, customisation, transport arrangements and the delivery
destination.
SITWELL FURNITURE shall not be responsible for delays caused by
circumstances beyond its reasonable control.
The customer is responsible for providing accurate and complete delivery
information and for ensuring that the delivery location is suitable for
the products ordered.
10. Delivery of Large or Special Products
Certain products may require specific delivery conditions due to their
dimensions, weight, volume or other characteristics.
Where specific delivery requirements apply, these may be communicated
to the customer before or after confirmation of the order.
The customer must ensure that reasonable access to the delivery location
is available, including sufficient access for the delivery vehicle and
handling of the products.
Additional costs resulting from circumstances attributable to the
customer, such as inaccessible premises, incorrect delivery information,
failed delivery attempts or additional handling requirements, may be
charged to the customer where applicable.
11. Inspection and Acceptance
The customer must inspect the products upon delivery or as soon as
reasonably possible thereafter.
Any visible damage, shortage or apparent defect should be reported to
SITWELL FURNITURE as soon as possible, preferably with photographs and
relevant delivery documentation.
Reporting an issue promptly enables SITWELL FURNITURE to investigate and
resolve the matter efficiently.
Any mandatory rights available to the customer under applicable law
remain unaffected by this reporting requirement.
12. Complaints and Defects
Complaints concerning products must be submitted in writing to
SITWELL FURNITURE within a reasonable period after the customer becomes
aware of the relevant issue.
The customer should provide the order number, product information,
description of the issue and, where appropriate, photographs or other
supporting documentation.
SITWELL FURNITURE will assess the complaint and determine, where
applicable, the appropriate remedy in accordance with the contract and
applicable law.
13. Warranty
SITWELL FURNITURE's products are subject to the warranties applicable
under mandatory provisions of Belgian law and any additional commercial
warranty expressly provided by SITWELL FURNITURE.
Where a specific commercial warranty applies to a product, its scope,
duration and conditions will be stated in the relevant commercial
documentation.
Unless otherwise expressly agreed, the warranty does not cover damage
resulting from improper installation, misuse, negligence, modification,
inappropriate maintenance, abnormal use or use contrary to the product's
intended purpose.
14. Ownership
Unless otherwise agreed in writing, ownership of the products remains
with SITWELL FURNITURE until full payment of all amounts due in relation
to the relevant order has been received.
The customer shall not dispose of, pledge or otherwise encumber products
that remain subject to a retention of title, to the extent permitted by
applicable law.
15. Cancellation and Modification of Orders
Any request to cancel or modify an order must be submitted to
SITWELL FURNITURE in writing.
Cancellation or modification is subject to acceptance by
SITWELL FURNITURE and may depend on the production, preparation or
delivery status of the order.
In particular, customised, made-to-order or already manufactured
products may not be cancellable once production or preparation has
commenced.
Any costs resulting from an accepted cancellation or modification may
be charged to the customer where applicable.
16. Returns
Returns of products are not accepted automatically and must be
authorised in advance by SITWELL FURNITURE.
The customer must contact SITWELL FURNITURE before returning any
product and provide the relevant order information and reason for the
proposed return.
Products may only be returned in accordance with the instructions
provided by SITWELL FURNITURE.
Customised, made-to-order or specially manufactured products are
generally not eligible for return unless expressly agreed otherwise in
writing.
17. Intellectual Property
All intellectual property rights relating to the SITWELL FURNITURE
website, product images, catalogues, texts, graphics, trademarks and
other commercial materials remain the property of SITWELL FURNITURE
or its respective rights holders.
No content may be reproduced, distributed, modified or used for
commercial purposes without prior written authorisation, except where
permitted by law.
18. Customer Information and Data Protection
The customer is responsible for ensuring that the information supplied
to SITWELL FURNITURE is accurate and up to date.
Personal data processed in connection with quotations, orders, invoices,
deliveries, customer accounts and communications is handled in
accordance with SITWELL FURNITURE's
Privacy Policy.
19. Cookies
The use of cookies and similar technologies on the website is governed
by SITWELL FURNITURE's Cookie Policy.
20. Force Majeure
SITWELL FURNITURE shall not be liable for any delay or failure to
perform its obligations resulting from circumstances beyond its
reasonable control.
Such circumstances may include, where applicable, disruptions affecting
manufacturing, suppliers, transport, logistics, energy supply,
telecommunications, natural events, governmental measures, strikes,
epidemics or other events that could not reasonably have been foreseen
or prevented.
21. Limitation of Liability
SITWELL FURNITURE shall be liable for damage caused by a failure to
perform its contractual obligations in accordance with applicable law.
To the extent permitted by applicable law, SITWELL FURNITURE shall not
be liable for indirect or consequential losses, loss of profit, loss of
business, loss of revenue or other indirect commercial damage resulting
from the use of the products or from a breach of contract.
Nothing in these Terms and Conditions shall exclude or limit liability
that cannot legally be excluded or limited.
22. Subcontractors and Third Parties
SITWELL FURNITURE may use third-party suppliers, manufacturers,
transport companies, logistics providers or other service providers to
perform its contractual obligations.
The use of such providers does not relieve SITWELL FURNITURE of its
contractual obligations to the customer to the extent required by
applicable law.
23. Amendments to These Terms and Conditions
SITWELL FURNITURE may amend these Terms and Conditions from time to
time, in particular to reflect changes to its business activities,
products or applicable legislation.
The version applicable to an order is the version in force and accepted
at the time the order is confirmed, unless otherwise agreed in writing.
24. Applicable Law
These Terms and Conditions and the contractual relationship between
SITWELL FURNITURE and the customer are governed by Belgian law.
25. Jurisdiction
Any dispute arising from or relating to the contractual relationship
between SITWELL FURNITURE and the customer shall, to the extent
permitted by applicable law, be submitted to the competent courts of
Belgium.
26. Severability
If any provision of these Terms and Conditions is found to be invalid,
unlawful or unenforceable, the remaining provisions shall remain in
full force and effect to the extent permitted by law.
The invalid or unenforceable provision shall, where possible, be
interpreted or replaced in a manner that best reflects its original
commercial and legal purpose.
